Board of Directors Job Descriptions:
President Manage the fundraising, public relations, and community outreach programs of the Club including the development of partnerships with outside constituencies to the benefit of the Club. He/she shall be ex-officio member of all standing committees. He/she shall have the general powers and duties usually vested in the office of President of a corporation. He/she shall make a full written report of the affairs of the Club for the preceding year at the Annual meeting, and may recommend such measures, as he/she or the Board of Directors deems advisable.
Vice President The Vice President shall perform the duties of the president in the absence or incapacity of the President. In the event of a vacancy in the office of President, the Vice President shall assume that office with no other action by the Board of Directors or the membership. The Vice President shall organize and schedule each year the first meeting of the Nominating Committee and shall serve as chairperson of the By Laws Committee. He/she shall advise the Board of Directors of the requirements of the By Laws in any actions the Board might take and shall perform such duties as the President may from time to time designate.
Secretary The Secretary shall be responsible for the keeping of the minutes of meetings of the Club and of the Board of Directors, and shall issue notices for such meetings. A typed copy of the minutes of ALL meetings shall be placed on file at the Club's quarters not later than the next scheduled meeting of the Board of Directors. This file shall be considered the official records of the Corporation and shall be used to store all official documents of the Corporation, including (but not limited to) the monthly and Annual Treasurer's reports and all the financial records, receipts, documents, etc. of the previous fiscal year. He/she shall conduct the correspondence of the Club and shall perform such other duties as the President may from time to time designate. His/her records shall be surrendered to the Board of Directors at the termination of his/her service and he/she shall permit the examination of such records by the Board of Directors at such time as it desires. At the Annual meeting, the incoming Secretary shall complete the Annual Report form required by the Commonwealth of Massachusetts, listing names and addresses of the incoming Officers and Directors, obtaining the necessary signatures on said forms, and turning the completed form over to the incoming Treasurer for filing.
Treasurer The Treasurer shall keep the accounts of the Club, receive all moneys paid to the Club, and pay all bills which shall be approved by persons duly authorized under the terms of these By Laws. He/she shall file a report at the Annual meeting, which report, when approved, shall be final, subject to audit. He/she shall submit such interim reports as the Board of Directors may request. He/she shall deposit the funds of the Club in such bank or banks as the Board of Directors may approve. He/she shall furnish a surety bond in such amount as the Board of Directors may authorize. The cost of such bond is to be borne by the Club. His/her records shall be surrendered to the Board of Directors at such time as it desires. He/she shall be a member of the Endowment Committee.
